Binding Agreement & Eligibility

These Terms of Service ("Terms", "Agreement") constitute a legally binding agreement between you ("Creator", "User", or "You") and UGCDecks Inc. ("UGCDecks", "we", "us", or "our"), governing your access to and use of our web applications, custom portfolio subdomains, media kit hosting, and related services.

Age Majority: You must be at least 18 years of age or have reached the legal age of majority in your jurisdiction to execute commercial brand representation agreements.
Account Integrity: You agree to provide accurate, authentic, and complete information during onboarding and to maintain the security of your authentication tokens and administrative dashboard.
Account Responsibility: You remain solely responsible for all activities, asset postings, and third-party inbound brand inquiries occurring through your deployed portfolio URL.

Intellectual Property & Creator Content Licenses

You retain 100% intellectual property ownership of your uploaded media assets, video reels, copy, case studies, and brand production collateral. UGCDecks claims no underlying ownership over your creative output.

Operational Platform License Grant

Solely to enable UGCDecks to host, serve, format, and render your portfolio to prospective brand partners globally, you grant UGCDecks a worldwide, non-exclusive, royalty-free, fully paid-up license to cache, store, transcode, scale, and transmit your public portfolio media across our Content Delivery Networks (CDNs) and web infrastructure.

Representations & Warranties: You warrant that you hold all requisite legal rights, permissions, and model/talent releases for any media, third-party trademarks, and performance metrics displayed on your decks, and that such publication does not breach any non-disclosure agreements (NDAs).

DMCA Safe Harbor & Copyright Infringement Notice

UGCDecks respects intellectual property rights and adheres to the notice-and-takedown framework established under Title 17, United States Code, Section 512 (Digital Millennium Copyright Act).

If you believe content hosted on a UGCDecks portfolio infringes your copyrighted work, transmit a formal DMCA Notice containing:

Identification of the copyrighted work claimed to have been infringed;
The precise URL/location of the allegedly infringing media asset;
Your direct contact credentials (name, physical address, email, telephone);
A statement of good-faith belief that the contested use is unauthorized;
A signature under penalty of perjury that the notification is accurate.

Subscription Terms, Auto-Renewal & Invoicing

Access to custom custom-domain publishing, advanced portfolio analytics, and high-bitrate video embeds requires an active subscription tier.

Continuous Recurring Billing

Subscriptions automatically recur on a billing cycle (monthly or annually) selected upon checkout. Your registered payment method will be charged automatically unless terminated prior to your scheduled renewal date.

Cancellation & Grace Periods

You may discontinue your subscription at any time via your Account Settings. Upon cancellation, premium functionality remains active until the expiration of the current paid billing term.

Refund Disclaimers

All fees and charges are non-refundable except as expressly detailed in our Refund Policy or where statutory cooling-off periods apply under local consumer regulations.

Acceptable Use & Prohibited Conduct

You agree not to utilize UGCDecks for deceptive, abusive, or unlawful activities. Prohibited conduct includes, but is not limited to:

Fabricating follower counts, brand affiliations, engagement rates, or ROI conversions;
Hosting unlawful, defamatory, harassing, or sexually explicit content;
Reverse engineering, decompiling, or attempting to discover source code or API keys;
Employing automated web crawlers, bots, or scrapers to extract creator data without written consent;
Misrepresenting an affiliation with UGCDecks or using UGCDecks branding in a misleading manner.

No Brand Representation or Commercial Guarantee

UGCDecks operates solely as a portfolio presentation platform. We are not a talent management agency, brand broker, or employer.

We make no warranties or representations regarding:

The procurement of brand sponsorship agreements or financial compensation;
The validity, solvency, or creditworthiness of any brand partner contacting you;
Search engine visibility, domain indexing speeds, or third-party web traffic.

All brand agreements, deal terms, deliverable scope, and payment collection remain strictly bilateral agreements between you and your brand client.

Limitation of Liability & As-Is Warranty

The platform is provided strictly on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, statutory, or implied, including merchantability, fitness for a particular purpose, or non-infringement.

To the maximum extent permissible by law, in no event shall UGCDecks, its directors, employees, or licensors be liable for any indirect, incidental, punitive, or consequential damages, including loss of business profits, goodwill, deal pipeline, or media asset corruption.

Our aggregate financial liability arising under these Terms shall not exceed the total amount actually paid by you to UGCDecks during the twelve (12) months preceding the claim.

Account Termination & Data Purge Protocols

We reserve the right to suspend or terminate your account access immediately, without prior notice, if you breach any term of this Agreement or engage in actions that threaten system stability or other creators.

Upon termination:

All licenses granted to you under this Agreement immediately expire;
Your public portfolio URLs and custom subdomains are disconnected;
Media assets and configurations are queued for deletion according to our Privacy Policy retention schedule.

Governing Law & Mandatory Dispute Resolution

These Terms and any claim or dispute arising out of or related to this Agreement shall be governed by and construed in accordance with the laws of the State of California, USA (or other designated corporate jurisdiction), without regard to its conflict of law principles.

You agree that any dispute that cannot be resolved through informal negotiations within thirty (30) days shall be settled through binding individual arbitration administered by the American Arbitration Association (AAA), waiving any right to participate in a class-action lawsuit or representative arbitration.

Modifications to Service & Terms

We may update these Terms periodically to adapt to evolving technical functionality, industry standards, or legal frameworks. Material adjustments will be announced at least fourteen (14) days prior to taking effect via direct email notification or prominent banner notices within the creator portal. Continued use of UGCDecks subsequent to the effective date constitutes unconditional acceptance.

Contractual Acknowledgment

By publishing or authenticating a creator media kit on UGCDecks, you acknowledge that you have read, understood, and agreed to be bound by these Terms of Service.
